6.3 Company Requirements

If a NGB is set up as a company, there are certain statutory requirements that apply. For those NGBs who are not set up as companies, information on the creation of a company can be obtained from the Companies Registration Office (CRO), Parnell House, Parnell Square, Dublin 1 or on the CRO website .

Companies must be registered with the CRO. Once a company is registered it is a separate legal entity from the persons who formed it. The Companies Acts impose strict obligations on company directors to comply with Company Law. This places important responsibilities on directors to ensure that company affairs are conducted in a proper manner and that returns are made correctly and on time to the CRO.

A company is a legal form of business organisation. The company (and not the individual shareholders) is the appropriate person to be sued in the event that debts are incurred by the company which remain unpaid, despite demand.
